Terms of Service

1. Acceptance of Terms

By accessing and using Alltomate's SaaS platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. Alltomate reserves the right to modify these terms at any time, and your continued use constitutes acceptance of the updated terms.

2. Service Description

Alltomate provides a cloud-based enterprise integration platform (the "Service") that enables customers to design, deploy, and manage integration workflows connecting APIs, SaaS platforms, ERPs, CRMs, databases, and on-premise systems. The Service is provided on an "as-is" basis subject to the terms and conditions herein.

3. Subscription Terms

Billing Cycle: You agree to pay the subscription fees for your selected plan. Billing occurs monthly or annually based on your chosen plan. All fees are exclusive of applicable taxes unless otherwise stated.

Payment Terms: Payment is due upon invoice generation. You authorize Alltomate to charge your payment method on file for all fees due.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled. You must cancel at least 30 days before renewal to avoid charges.

4. Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard. Cancellations are effective at the end of the current billing period.

Refunds are not available for partial subscription periods. Upon cancellation, access to the Service will be terminated at the end of your billing period.

5. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful, fraudulent, or malicious purpose
• Access or search the Service by any means other than our publicly supported interfaces
• Reverse engineer, decompile, or attempt to derive the source code, trade secrets, or algorithms
• Transmit any viruses, malware, or code of destructive nature
• Interfere with or disrupt the integrity or performance of the Service
• Share your account credentials or allow unauthorized access to your account
• Exceed rate limits or bandwidth thresholds established for your plan

6. Data and Security

Your Data: You retain all rights to your data. You grant Alltomate a limited license to use your data solely to provide the Service. We will not sell or share your data with third parties.

Data Security: Alltomate implements industry-standard security measures to protect your data. However, no system is entirely secure. We are not liable for unauthorized access to your account or data if due to your negligence.

Data Residency: By default, data is stored in Canadian data centers. Enterprise customers may request alternative data residency arrangements.

7. Uptime and Service Availability

Service Level Agreement: Alltomate commits to 99.5% uptime for the platform during each calendar month, excluding scheduled maintenance and events beyond our control.

Scheduled Maintenance: We may perform maintenance with 72 hours' notice. Emergency maintenance may be performed without notice if necessary to maintain service security or integrity.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLTOMATE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunity
• Any third-party claims or actions arising from your use of the Service

IN NO EVENT SHALL ALLTOMATE'S TOTAL LIABILITY EXCEED THE TOTAL FEES PAID BY YOU IN THE PRECEDING 12 MONTHS.

9. Warranties Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALLTOMATE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Intellectual Property

Platform IP: All content, features, functionality, and intellectual property of the Service belong to Alltomate or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service.

Your IP: You retain all rights to any workflow configurations, mappings, or custom code you create. You grant Alltomate the right to use anonymized data for service improvement and analytics.

11. Third-Party Integrations

The Service allows integration with third-party platforms and APIs. You are responsible for obtaining necessary licenses and permissions. Alltomate is not liable for third-party service interruptions, data loss, or changes to third-party APIs.

12. Confidentiality

Each party agrees to maintain the confidentiality of the other's proprietary information. This obligation survives termination of these terms. Public information and information obtained without breach of confidentiality are excluded.

13. Termination

Termination by You: You may terminate your subscription at any time by cancelling through your account settings.

Termination by Alltomate: We may terminate or suspend your access immediately for violation of these terms or upon 30 days' written notice for non-payment.

Effect of Termination: Upon termination, your access to the Service ceases, and you may request a one-time export of your data within 30 days.

14. Indemnification

You agree to indemnify and hold harmless Alltomate from any claims, damages, or costs arising from your use of the Service, your data, or your violation of these terms.

15. Governing Law and Dispute Resolution

These terms are governed by the laws of Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Canada.

Before litigation, both parties agree to attempt to resolve disputes through good-faith negotiation.

16. Severability

If any provision of these terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed, and the remaining provisions shall continue in full effect.
